Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the BlueSpend platform, websites, and card program (together, the “Services”). By creating an account or using the Services, you agree to these Terms on behalf of your organization. If you do not agree, do not use the Services.

1. Introduction

BlueSpend builds spend-management technology and a corporate card program for Democratic and progressive-aligned organizations — campaigns, committees, PACs, C4s, and unions — so their teams can spend, control budgets, and stay compliant with less work. As used in these Terms, “BlueSpend,” “we,” and “us” mean BlueSpend and its affiliates, and “you” and “your” mean the organization using the Services and the people authorized to act for it. We may add, change, or discontinue features as the Services evolve, and we cannot guarantee that any particular feature will always be available.

2. Privacy

Our handling of your information is described in our Privacy Policy. By using the Services, you agree that we can collect, use, and share information as described there. You retain ownership of your organization's data, and you grant us the rights needed to operate, secure, and improve the Services.

3. Eligibility

The Services are offered only to Democratic and progressive-aligned organizations. We verify alignment at onboarding and may decline or close any account at our discretion. You also agree that:

  • You are authorized to bind your organization to these Terms and to open financial accounts on its behalf.
  • Everyone using the Services on your behalf is at least 18, or the age of majority where they live.
  • The information you give us is accurate, complete, and kept current.
  • Neither your organization nor its owners are subject to U.S. sanctions or otherwise barred from using the Services under applicable law, including measures administered by the Office of Foreign Assets Control (“OFAC”).

4. The card program

BlueSpend is a technology company, not a bank. Cards are issued by a regulated bank partner on a major card network, subject to that partner's cardholder agreement, which you accept when you activate a card. Cards are prepaid and draw against a funded balance. To open your account, we and our banking partner must verify your organization and the people who own and control it — federal law requires financial institutions to obtain and verify identifying information for each account. We may request documentation (such as formation records, beneficial-ownership details, and government ID) and may share it with our banking and compliance partners for these purposes.

5. Your account and administrators

You designate administrators who manage your account — adding or removing users, issuing cards, setting spend limits, connecting bank accounts and other tools, and running reports. You are responsible for everything done under your account, including actions by your administrators, users, and anyone using their credentials. Keep credentials secure, control who can issue cards or move funds, and contact us immediately if you believe your account has been compromised. 6. Fees

BlueSpend does not charge a subscription, per-seat, or setup fee. We make our money from the card fees merchants pay when your organization spends. Certain third-party costs (for example, expedited card shipping) may be passed through and disclosed before you incur them. You authorize us and our banking partner to debit your linked funding account for amounts you owe and to fund your balance, in accordance with the applicable account agreements.

7. Acceptable use

You may use the Services only for lawful, authorized organizational spend. You may not:

  • Violate campaign-finance or other applicable law, launder funds, or make prohibited or excessive contributions.
  • Use the cards for personal, family, or household purposes, or on behalf of an entity we have not approved.
  • Infringe, defraud, harass, or otherwise harm others, or misrepresent your identity or authority.
  • Disrupt, reverse-engineer, scrape, or attempt to gain unauthorized access to the Services, or introduce malware.
  • Use the Services or your data to train machine-learning models without our written consent.

We and our banking partner are subject to regulation and risk policies, and we may limit, suspend, or close accounts to enforce these rules or comply with the law.

8. Compliance tools are not advice

BlueSpend helps you code transactions and generate FEC and state reports from your data. These tools are aids, not a substitute for your treasurer, accountant, or attorney, and may produce incomplete or inaccurate output. You are responsible for the accuracy, completeness, and timely filing of your reports and for the decisions you make using the Services.

9. Your content and feedback

You may upload content such as receipts, documents, and logos (“Content”). You represent that you have the rights to it, and you grant us a license to host, use, and process that Content as needed to provide the Services. If you send us feedback or suggestions, we may use them freely, without obligation or compensation to you.

10. Intellectual property

We own the Services and all associated intellectual property, and grant you a limited, non-exclusive, non-transferable license to use them under these Terms. You own your Content and your organization's data. All rights not expressly granted are reserved.

11. Suspension and termination

You may close your account at any time. We may suspend or terminate access if you breach these Terms, if we can no longer verify your eligibility, if we suspect fraud or unlawful activity, or as required by our banking partner or applicable law. On termination, your cards will expire, and funds in your balance are handled per the issuing bank's agreement. Provisions that by their nature should survive — such as fees owed, disclaimers, liability limits, and indemnification — survive termination.

12. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any output will be accurate. Third-party services you connect are not controlled or endorsed by us, and we are not responsible for them.

13. Limitation of liability

To the fullest extent permitted by law, BlueSpend is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for all claims relating to the Services is limited to the greater of $100 or the amounts you paid us, if any, in the twelve months before the claim.

14. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless BlueSpend and its affiliates, and our banking and service partners, from claims, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your Content, your breach of these Terms or applicable law, or disputes between you and the parties you transact with.

15. Governing law and disputes

These Terms are governed by the laws of the state in which BlueSpend is organized, without regard to its conflict-of-law rules. Before filing a formal claim, you and BlueSpend agree to try to resolve the dispute informally by contacting each other first. Your counsel should tailor this section — including venue, and whether disputes are resolved in court or by binding arbitration with a class-action waiver — to your business before launch.

16. Changes to these terms

We may update these Terms as the Services evolve. If we make material changes, we will revise the date above and notify you through the platform or by email. Continued use after changes take effect means you accept the updated Terms.

17. General

These Terms, together with the policies referenced in them, are the entire agreement between you and BlueSpend regarding the Services and supersede any prior agreements. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them, including to a banking or successor entity, as needed to provide the Services.
